Terms of Service for NextSay AI

These Terms of Service ("Terms") govern your access to and use of NextSay AI, including our applications, website, and related services (collectively, the "Service"). By creating an account, downloading the app, or using the Service, you agree to these Terms.

1. Eligibility and Accounts

• You must provide accurate account information and keep your login credentials secure.
• You are responsible for all activity under your account.
• If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Recording, Transcription, and Consent

You are solely responsible for complying with all laws that apply to recording, monitoring, or transcribing conversations.

• You must provide any required disclosure, notice, or consent to participants before recording, transcribing, or using Live Guidance, Ask NextSay, or related AI features during a conversation.
• You must not use the Service in conversations, locations, platforms, workplaces, customer environments, or regulated contexts where recording, transcription, monitoring, or AI processing is prohibited or requires approval you do not have.
• You are responsible for determining whether one-party consent, all-party consent, written notice, retention restrictions, confidentiality obligations, or other legal or organizational requirements apply.
• If you use the Service on behalf of an organization, you are responsible for following that organization's recording, privacy, security, and vendor-use policies.
• You are responsible for your own use of transcripts, summaries, notes, follow-ups, Live Guidance cues, Ask NextSay responses, and any related output.

3. The Service

NextSay AI provides conversation assistance, transcription, summaries, note-taking, and related workflow features. Features, limits, and availability may change over time.

• Some features require microphone access, network access, or an active account.
• Some features depend on third-party services, subscription tier, or usage limits.
• We may add, remove, suspend, or modify features at any time.

4. Cloud Sync, Storage, and Device Copies

• Cloud Sync is an account-level feature that can back up and sync supported user content across signed-in devices.
• When Cloud Sync is enabled, you authorize NextSay AI to store and sync supported content such as scheduled sessions, completed sessions, transcripts, summaries, notes, Live Guidance cues, Ask NextSay messages, follow-ups, session metadata, preferences, and audio recordings when upload is supported and succeeds.
• Turning off Cloud Sync stops future cloud backup and cross-device updates. It does not automatically delete content that was previously synced to your account.
• To remove previously synced content, use available deletion controls such as deleting sessions, deleting cloud backup where offered, clearing all data, or deleting your account.
• Local device copies, browser caches, exported files, and downloaded audio may remain until removed from that device. You are responsible for managing files you download or export.
• Cloud audio playback, download, and export depend on platform support, network availability, storage availability, permissions, and successful upload.
• Voice profile sync is separate from Cloud Sync. Raw voice enrollment audio stays local unless the product explicitly states otherwise.

5. Subscriptions, Billing, and Limits

• NextSay AI offers free and paid access tiers, and the exact feature set or usage limits may vary by plan.
• Paid subscriptions and entitlements may be managed through app stores or authorized billing providers.
• Paid plans renew automatically unless cancelled according to the billing platform's rules.
• You are responsible for reviewing pricing, renewal, cancellation, and refund terms presented at purchase.

6. Acceptable Use

You may not use the Service to:

• violate law or the rights of others;
• record or process conversations unlawfully;
• bypass security controls, quotas, or subscription restrictions;
• abuse, disrupt, probe, or interfere with the Service or its providers;
• use the Service to generate or facilitate fraud, harassment, defamation, or other harmful conduct.

7. Your Content and Our Rights

• You retain ownership of the content you submit or create through the Service.
• You grant us a limited, non-exclusive right to host, process, transmit, and analyze your content solely to operate, secure, maintain, and improve the Service.
• You represent that you have the rights needed to submit that content and allow us to process it.

8. AI Output and Accuracy

NextSay AI includes automated transcription and AI-generated output. Those systems can be wrong, incomplete, biased, or out of date.

• Transcripts, summaries, notes, follow-ups, Live Guidance cues, Ask NextSay responses, and related output are provided for convenience.
• You remain responsible for reviewing and validating outputs before relying on them.
• NextSay AI does not provide legal, medical, financial, or other professional advice.

9. Intellectual Property

• NextSay AI and its software, branding, designs, and proprietary systems remain our property or the property of our licensors.
• These Terms do not give you ownership of the Service itself.

10. Suspension and Termination

• We may suspend or terminate access if you violate these Terms, create security risk, misuse the Service, or if we are required to do so by law.
• You may stop using the Service at any time. If you can still access your account, you may delete it through available authenticated account controls. If you cannot access your account, you may request deletion by contacting support from the email associated with your account, subject to verification.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

12. Limitation of Liability

To the maximum extent permitted by law, NextSay AI and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use arising from or related to the Service.

13. Governing Law

These Terms are governed by the laws of the jurisdiction specified by NextSay AI, excluding conflict-of-law principles. If we publish a more specific governing law or venue statement later, that statement will control.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after updated Terms become effective means you accept the revised Terms.
